Terms of Service

These Terms of Service ("Terms") govern your access to and use of Mila (usemila.io), operated by Use Mila, LLC ("Mila," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at hello@usemila.io if you suspect unauthorized access. You may not share your account with others or create accounts on behalf of someone else without their consent.

2. License

Subject to these Terms and payment of applicable fees, Use Mila, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes. You may not sublicense, resell, or otherwise make the Service available to third parties. This license does not include the right to copy, modify, distribute, or create derivative works based on the Service or its underlying software.

3. Fees & Payment

Paid plans are billed on a monthly or annual basis via credit card through our payment processor, Stripe. All fees are stated in US dollars. By providing a payment method, you authorize us to charge you for all fees incurred under your plan.

We reserve the right to change pricing at any time. We will provide at least 30 days' notice of any price increase via email. Continued use of the Service after the effective date constitutes acceptance of the new pricing.

If a payment fails, we may suspend your account until payment is resolved. You are responsible for all taxes associated with your use of the Service.

4. Refund Policy

If you are not satisfied with the Service, you may request a full refund within 30 days of your first paid charge by emailing hello@usemila.io. No refunds are issued after 30 days. Free trial periods are not eligible for refunds. We do not provide partial refunds for unused portions of a billing cycle.

5. Use of Data

By using the Service, you grant Use Mila, LLC permission to collect and use technical and diagnostic information (such as error logs, usage patterns, and performance data) to operate, maintain, and improve the Service. This data is handled in accordance with our Privacy Policy.

You retain ownership of all content and subscriber data you bring into the Service. We process that data only as necessary to deliver the Service to you and will not use it for any other purpose.

6. Third-Party Integrations

Mila integrates with third-party platforms including email service providers (Kit, Flodesk, MailerLite) and payment processors (Stripe). When you connect a third-party account, you authorize Mila to access and use data from that account solely to deliver the features you've enabled. Use Mila, LLC is not responsible for the availability, accuracy, or actions of third-party services.

7. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Neither party will disclose the other's Confidential Information to third parties or use it for any purpose outside the scope of these Terms without prior written consent.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law or court order.

8. Proprietary Rights & Restrictions

The Service, including all software, designs, text, and graphics, is owned by Use Mila, LLC and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

You may not:

• Reverse-engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or use automated tools to extract data from the Service
• Remove or alter any proprietary notices or branding
• Use the Service to build a competing product or service
• Attempt to gain unauthorized access to any systems or networks connected to the Service

9. Compliance

You agree to use the Service in compliance with all applicable laws and regulations, including those relating to email marketing (CAN-SPAM Act, CASL), data privacy (CCPA, GDPR where applicable), and intellectual property. You are solely responsible for ensuring your use of Mila — including the urgency marketing and countdown campaigns you create — complies with applicable consumer protection and advertising laws. You may not use the Service to create false, deceptive, or misleading deadlines.

10. Indemnification

You agree to defend, indemnify, and hold harmless Use Mila, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any content or data you submit through the Service.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Use Mila, LLC does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You use the Service at your own risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Use Mila, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the Service. In no event shall Use Mila, LLC's total liability to you for all claims exceed the greater of (a) the amount you paid to Mila in the twelve months preceding the claim, or (b) $500 USD.

13. Termination

Either party may terminate the Service relationship at any time. You may cancel your account through your account settings or by emailing hello@usemila.io. We reserve the right to suspend or terminate your account immediately if you violate these Terms or engage in conduct we determine to be harmful to the Service or other users.

Upon termination, your access to the Service will cease. Sections that by their nature should survive termination (including Proprietary Rights, Indemnification, Disclaimers, Limitation of Liability, and Governing Law) will continue to apply.

14. Modifications to Terms

We may update these Terms at any time. When we do, we will update the "Last updated" date and notify you by email. If you disagree with the updated Terms, you may cancel your account within 10 days of receiving notice. Continued use of the Service after that period constitutes acceptance of the revised Terms.

15. Governing Law & Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. These Terms constitute the entire agreement between you and Use Mila, LLC regarding the Service and supersede all prior agreements.
